1. Agreement to Terms
These terms govern your use of GrayVally's website and digital services. By submitting an inquiry, accepting a proposal, paying an invoice, or engaging us for services, you agree to these terms and any accepted proposal, invoice, or written agreement.
2. Services Description
GrayVally provides services including:
- Website Development and Design
- Mobile Application Development
- UI/UX Design Services
- E-Commerce Solutions
- Custom Software Development
- SEO and Digital Marketing
- Technical Consultancy
- Maintenance and Support Services
- Automation, integrations, and technical implementation support
Scope, deliverables, timeline, pricing, and support terms are defined in the accepted proposal, invoice, brief, or agreement. If project-specific terms conflict with these terms, the project-specific terms control.
3. Client Obligations
As a client, you agree to:
- Provide accurate project information
- Respond and give feedback on time
- Make payments according to the agreed schedule
- Provide required access, credentials, and materials
- Review and approve deliverables within agreed timeframes
- Not use our services for unlawful purposes
- Confirm that you have the right to provide any content, data, logos, code, or third-party assets supplied to us
4. Payment Terms
Unless otherwise agreed:
- Advance Payment: An advance payment is required before work begins. The standard advance is 50% of the project cost.
- Milestone or Final Payment: Remaining amounts are due by milestone, invoice terms, or before final handover.
- Currency: All payments are accepted in Bangladeshi Taka (BDT) or USD.
- Payment Methods: Bank transfer, bKash, Nagad, international transfer, or other approved methods.
- Late Payment: Overdue payments may pause work, delay delivery, restrict support, or incur agreed late fees.
Prices exclude VAT/taxes unless stated otherwise.
5. Project Timeline & Delivery
For timelines and delivery:
- Timelines are estimates and may change with scope or complexity
- Work starts after payment, materials, access, and approvals
- Client-side delays extend timelines
- We will communicate significant timeline changes
- Rush projects may incur additional charges
6. Intellectual Property Rights
Ownership works as follows:
- Client Materials: You retain ownership of all materials you provide.
- Deliverables: After full payment, you own final custom deliverables created for your project, excluding pre-existing and third-party materials.
- Pre-existing Materials: GrayVally keeps ownership of pre-existing code, tools, reusable components, templates, processes, and know-how.
- Third-Party Assets: Software, fonts, plugins, APIs, stock assets, hosting, domains, and licenses remain subject to their own terms.
- Portfolio Rights: We may showcase completed work unless otherwise agreed in writing.
7. Revisions & Changes
For revisions and changes:
- Included revision rounds are stated in the accepted proposal
- Extra revisions may be billed separately
- New features, changed requirements, new pages, integrations, rewrites, or major design changes may affect cost and timeline
- Revision requests must be submitted in writing
8. Confidentiality
Both parties must protect confidential information, including credentials, non-public technical details, customer data, pricing, and clearly confidential materials. It may be shared with team members or providers only as needed to deliver the services. This obligation survives completion or termination.
9. Limitation of Liability
To the extent permitted by law, GrayVally is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the amount paid for the specific service giving rise to the claim. We are not responsible for third-party services, hosting issues, or events beyond our control.
10. Termination
Either party may terminate the agreement:
- With 14 days written notice for convenience
- Immediately for material breach that remains uncured after 7 days notice
- Upon termination, client pays for all work completed to date
- Deposits are non-refundable if termination occurs after project commencement
- We may suspend or terminate services for non-payment, misuse, unlawful activity, abusive behavior, or security risk
11. Dispute Resolution
Disputes should first be handled through good-faith discussion. If unresolved, the project agreement's dispute process applies, or the matter may be handled by arbitration or competent courts in Bangladesh.
12. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, including disasters, war, outages, payment network issues, power disruption, cyber incidents, government action, pandemic, or similar events.
13. Amendments
We may update these terms by posting a new version here. Updates do not change accepted project-specific terms unless both parties agree or the law requires it.

These Terms of Service are governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
